Prospectus Regulation (Reg. (UE) n. 1129/2017) – which came into effect on 21.7.2019 and is applicable in all EU countries, together with the related implementing provisions [1] – exceeds the previous Directive[2], through binding provisions for the formulation and presentation of risk factors in the prospectus and in the Summary.

According to the new European regulations, the risk factors included in the prospectus must concern the most significant and specific risks for the issuer and its securities and must be confirmed by the content of the prospectus. The new legislation also indicates the methods of classification and description, requiring to explain clearly and concisely how the risk factor may affect the issuer or the securities.

In the case of the retail prospectuses, the regulation summary has relevance, too. This Note must be prepared in a concise and easily understandable form: It must also provide a limited selection of specific risks (maximum 15 risk factors) that the issuer judges of greatest relevance for the investor’s investment decision.

To further integrate the regulatory framework on the subject, on 29 March 2019 the European Securities and Markets Authority (ESMA) published, on its website – pursuant to art. 16 (4) (“Risk Factors”) of the Prospectus Regulation – its own guidelines (“Guidelines”) concerning risk factors in English. The Guidelines will soon be published in the official languages of the European Union countries and it will be made also available on the CONSOB website.

These Guidelines further the adequate, targeted and more optimized information on risk factors, in an easily analysable, concise and understandable form, assisting the competent authorities in their examining of the prospectus pursuant to Article 20 of the Prospectus Regulation. Those who are responsible for the prospectus will also have to take this into account in order to speed up the approval process related to the prospectus.

CONSOB decided to comply with the Guidelines in implementing the new regulations, taking into account the relevant new elements introduced by it.

Given the above, it is recalled the attention of those who are responsible for the prospectus about the compliance with the new EU regulations governing the prospectus and, in particular, about the provisions relating to risk factors and the Summary note, so as supplemented by the ESMA Guidelines.

Given the above, it is believed that the aforementioned EU legislation on the prospectus now supersedes the indications provided in the past by CONSOB to national market operators, with specific reference to risk factors and Warnings. With regard to the Warnings, it is emphasized that their purpose is assigned, by the current European regulation on the prospectus, to the risk factors and to the Summary note, whose identification criteria and preparation modalities are explicitly defined.

CONSOB Recommendations n. 7105108 (29.11.2007) and n. 0096857 (28.10.2016) concerning the risk factors and the “Warnings for the investor” are therefore revoked with reference to the offer and quotation documents prepared according to the new regulation.

As required by the ESMA Guidelines, CONSOB incorporates the same Guidelines in its supervisory practices and monitors that issuers, and other subjects responsible for drawing up the prospectus, be compliant with it, being able, wherever necessary, to exercise the powers established by Article 114, paragraph 5, of the Consolidated Law on Finance (Testo unico della finanza – Tuf).

Richiamo di attenzione n. 4/2019 del 18 settembre 2019

Oggetto: Orientamenti dell’ESMA in materia di fattori di rischio ai sensi del nuovo Regolamento Prospetto e revoca delle Raccomandazioni CONSOB n. 7105108 del 29.11.2007 e n. 0096857 del 28.10.2016 riguardanti, rispettivamente, i fattori di rischio e le “Avvertenze per l’investitore” dei prospetti

Il Regolamento Prospetto (Reg. UE n. 1129/2017) – entrato in vigore il 21.7.2019 e applicabile in tutti i Paesi UE, unitamente alle relative disposizioni attuative[1] – supera la precedente Direttiva[2], recando vincolanti prescrizioni per la redazione e presentazione dei fattori di rischio nel prospetto e della Nota di sintesi.

In base alle nuove norme europee, i fattori di rischio inseriti nel prospetto devono riguardare i rischi più significativi e specifici per l’emittente e i suoi titoli e devono essere avvalorati dal contenuto del prospetto. La nuova normativa indica inoltre le modalità di classificazione e di descrizione, richiedendo di spiegare in modo chiaro e conciso come il fattore di rischio incida sull’emittente o sui titoli.

Per i prospetti retail, assume inoltre rilevanza anche la disciplina della Nota di sintesi. Tale Nota deve essere elaborata in forma concisa e di facile comprensione, deve fornire una selezione limitata di rischi specifici (massimo 15 fattori di rischio) che l’emittente considera di maggiore rilevanza per la decisione d’investimento degli investitori.

Ad ulteriore integrazione del quadro normativo sulla materia, il 29 marzo 2019 l’European Securities and Markets Authority (ESMA) ha pubblicato, sul proprio sito internet, ai sensi dell’art. 16(4) (“Fattori di rischio”) del Regolamento Prospetto i propri orientamenti (“Orientamenti”) concernenti i fattori di rischio in lingua inglese. Gli Orientamenti saranno a breve pubblicati nelle lingue ufficiali dei Paesi dell’Unione Europea e resi disponibili sul sito CONSOB.

Tali Orientamenti incoraggiano un’informativa adeguata, mirata e più ottimizzata sui fattori di rischio, in una forma facilmente analizzabile, succinta e comprensibile, assistendo le autorità competenti nel loro esame del prospetto ai sensi dell’articolo 20 del Regolamento Prospetto. Anche le persone responsabili del prospetto dovranno tenerne conto al fine di accelerare il processo di approvazione del prospetto.

La CONSOB ritiene di uniformarsi agli Orientamenti nell’attuazione della nuova disciplina, tenuto conto degli importanti elementi di novità da essa introdotti.

Considerato quanto sopra, si richiama l’attenzione delle persone responsabili del prospetto sull’osservanza delle nuove norme dell’UE disciplinanti il prospetto e in particolare delle disposizioni relative ai fattori di rischio e alla nota di sintesi, così come integrate dagli Orientamenti ESMA.

Ciò premesso, si ritiene che la richiamata normativa dell’UE sul prospetto renda ormai superate le indicazioni fornite in passato dalla CONSOB agli operatori del mercato nazionale, con specifico riferimento ai fattori di rischio e alle Avvertenze. Quanto alle Avvertenze si sottolinea che la loro finalità è assegnata dalla vigente regolamentazione europea sul prospetto ai fattori di rischio e alla nota di sintesi, di cui vengono definiti, in modo esplicito, i criteri di individuazione e le modalità di redazione.

Le Raccomandazioni CONSOB n. 7105108 del 29.11.2007 e n. 0096857 del 28.10.2016 riguardanti i fattori di rischio e le “Avvertenze per l’investitore” sono pertanto revocate con riferimento ai documenti di offerta e di quotazione predisposti secondo la nuova disciplina.

Come richiesto dagli Orientamenti dell’ESMA, la CONSOB incorpora gli stessi nelle proprie prassi di vigilanza e monitora che gli emittenti e gli altri soggetti responsabili della redazione del prospetto vi si attengano, potendo, ove necessario, esercitare i poteri previsti dall’articolo 114, comma 5, del TUF.
